| At a called meeting of the Board of
Directors held in this City. Present: |

| The President informed the
Board of the resignation of A. V. Sullivan recently appointed Secretary
and Clerk of the Company and stated the importance of a prompt
appointment of his successor. |
| On motion Mr. William R.
Richardson of Raleigh was duly elected to fill the vacancy; whereupon Mr
Richardson appeared and accepted the office with the consent of the
Board that he should postpone the duties thereof until the 15th October. |
