This agreement & contract made and entered into this
the Sixth day of February 1863, between the Confederate States, by Maj
E. A. Banks, Chf Qr Master of the Army Department of Mississippi, and
Eastern Louisiana, having authority to execute the same, of the first,
and F. M. White, President of the Mississippi & Tennessee Rail
Road Compy of second part, witnesseth: that for the consideration
herein after stated, the said party of the second part, agrees and
binds himself to rebuild all of the bridges that have been destroyed,
and otherwise put the said Rail Road in Safe running order from
Grenada to Sardis, in the shortest practicable time, and for the
accomplishment of which he obligates himself to direct all the energy
and resources at his command and to omit no effort to expedite which
will expedite the work. In consideration of the promises, and that the
use of said Rail Road is a military necessity, for the transportation
of army supplies, for the benefit of the said party of the first part,
and to facilitate the completion of said work. The said party of the
first part agrees & binds itself to advance to the said party of
the second part, the sum of Fifty Thousand dollars ($50,000),
advancement to be made as the work progresses, in installments every
twenty days, in the following manner in order to insure the faithful
application of the money thus advanced, for the purpose aforesaid, the
said party of the first part shall appoint an Engineer, who shall b e
acceptable to the said party of the second part, to exercise a general
supervision over the said work, and audit the accounts of the said
Rail Road Company, for labor, materials, & supplies expended upon
said work, and upon his certificate of the correctness and jus?? of
the same, the said Chf Quarter Master of said dept (Miss Ea La)
shall without delay pay the same, within the said limits of Fifty
Thousand dollars, and to enable the said Engineer to fully investigate
the accounts aforesaid, the said party of the second part agrees to
submit to him a copy of all contracts made for work and materials,
bills of the material used, and all payment receipts for labor
performed. The said party of the first part further agrees to furnish
transportation over other Rail Roads for all materials, which it may
be necessary to procure; at a distance, in furtherance of said work,
upon the order of said Engineer. The said advance of Fifty Thousand
dollars, by the said party of the first part, being intended as
strictly a loan to the said party of the second part for the
performance of facilitating the work aforesaid. The said Miss &
Tenn Rail Road Company by its President agrees & binds itself to
repay to the said Confederate States, the cost of said transportation
of Materials over other rail roads, together with the said sum of
Fifty Thousand dollars without interest, within or at the expiration
of ten years after the ratification of a Treaty of Peace between the
Confederate States & the United States.
