   In accordance with your request, I submit the following conditions as those which will enable me to increase the means of Transportation between Wilmington & Richmond and between Charlotte & Richmond --
   Within 30 days, after you enter into contract with me to that extent I will place 30 cars and 3 engines on either of the above routes:
   I will also, within 4 months after you enter into contract with me for doing so, place an additional 20 cars and 2 engines on either of the above routes:
   I will enter into a contract with you for the Government, to run these trains for the use of the Govt on those routes at the rate of 50 cents per 100 pounds per 100 miles, to be paid in the same mileage that is paid these several roads over which my trains would pass.
   The Government to so arrange with these roads, that my trains are to have wood, water & track free of cost to the Manassas Gap R. R. Co.
   For all delays of more than 12 hours at either terminal, in loading or unloading, or for any detention of more than 6 hours at intermediate points of terminal, payment is to be made, as follows:
   Engines $50/- for every 12 hours
   Cars          4/- each for every 12 hours
   and pro rata for every additional hours delayed by causes not under the control of the M. G. R. R. Co.
   I will hold myself responsible for weight of Freights -- if: so Receipted for by my agents, and, for Packages by numbers if not delivered, in the condition or in which they have been receipted.
   Assumed, or assorted weights: not to be considered actual weights & not to be accounted for as such.
   If time will not permit: Freights to be weighted prior to loading -- Receipts will be given only, for the numbers of Packages as loaded - and - If the number of Packages are all delivered in the same order & condition as when loaded, the delivery shall be considered perfect, & no allowance or deduction shall be made as delivered.
   In order to facilitate settlement of accounts - It is understood that all accounts for Transportation

   The Quarter Master who loads the train shall give a full & proper voucher for its load -- and also -- a statement on said voucher -- of the hour it reports to him for loading and also -- the hour he enables it to start -- and -- in case of detention at any point along the route -- The nearest Quarter Master to point of detention shall farther endorse on such voucher -- the length of such detention & cause.
   In the event that, at any time, the train of the Manassas Gap RRd Coy be impressed by Government for the Transportation of Troops, then, the Full Earnings of the Train is to be paid according to the Macon schedules by the Government to the Manassas Gap RRd Coy, without deduction for track, wood or water. And whilst so engaged, if any detention shall occur to said train, caused by events over which the officers of the Manassas Gap RRd have no control -- then -- the time lost by said detention is to paid the Manassas Gap RR Co -- at the rates previously stated.
