Know All Men By These
Presents; That I, H. S. Fulkerson purchaser of the Southern Rail
Road Company, its Charter, Rights, Powers and Privileges,
Appurtenances, cars, locomotives &c., at an Execution Sale before
Court House door in the City of Marshall, Harrison County, State of
Texas, on the 2nd day of September, 1861, as will fully appear by Deed
from the Sheriff of said County to me of that date, to-wit: Reference
is made for description of said property and being desirous of making
the best use of said purchase for the intent of said Rail Road and the
objects contemplated by the Charter authorizing the construction, and
having no desire to make a speculation of the same for my benefit,
Hereby assign, set over and convey to the Southern Pacific Rail Road
Company, formed after and in virtue of said sale in Accordance with
the Laws of Texas in the Town of Marshall, Harrison County Texas, on
the 8th day of September, A. D., 1861, of which company J. S. Holman
is President. Said property was purchased and in said deed described
and securing to myself the place & position of a Corporation under
said purchaser and not setting myself of such position under said
purchase by this Deed. This conveyance being made by me however, upon
the express condition that the debts be paid in the manner and the
intent aforesaid and provided for by a Resolution of the Board of
Directors passed on the 6th day of September, A. D., 1861, and upon
the further condition that the First Board of Directors that is today
the present Board shall have the power to determine what stock held in
the Sold Out Company shall be admitted as Stock in the Company formed
as aforesaid in virtue aforesaid purchase and the terms and conditions
upon which the same shall be admitted, imposing on said Directors the
request that their action, in this regard shall be for the best
interest of the Company and as nearly First as they can make it. And
upon the further condition; that the money paid out by me in making
said purchase should be replaced with interest. In Witness Whereof;
I hereunto set my hand and seal this 7th day of September, A. D.,
