Directors' Meeting of the Spartanburg & Union RR, January 9, 1861} |

| Pursuant to adjournment the
Directors met |
| Present Jno L. Young Prest Pro tem &
Messrs Bobo, Miller, Evans, Legg, Jeter, Keenan, Dawkins & Alston |
| On Motion Mr Keenan, |
| Resolved, That this Company has every
disposition to pay the debt of the Company and to sustain its credit |
| 2nd Resolve, That as soon as the present
depression in business shall be overcome that we will pay to Rogers & Co
as large a portion of any surplus that may be on hand, monthly as
possible |
| 3rd Resolved, That the President of this
Company be authorised to sell one of the Engines purchased of Messrs
Rogers & Co. if in his judgement he can get anything like a fair price
for it, and the proceeds paid to Messrs Rogers & Co. |
| 4th Resolved, That the President of the
Board write to Rogers & Co., explaining the peculiarly unfortunate
condition of our affairs, owing to the continued influence of the
epidemic in Columbia as well as the political crisis of the Country.

| Resolved That John L Young be requested to
act as President Pro tem of the Spartanburg & Union Rail Road Company
until the return of J R Straughan the President, and enter upon the
discharge of his duties as said President. |
