   At a meeting of the Board of Directors held this day
   Present Jas L Price President Directors J. W. Lapsley W. S. Knox H. W. Reese and Richd W. Adams

   On Motion of Mr Lapsley the following was adopted
   Capt. J. C. Graham Acting Quartermaster at Selma, having proposed to this Company to receive 4 per cent certificates of the Government for a portion of amounts due for transportation, and the President having declined for reasons deemed satisfactory to the board, to accept the proposition, but offering to accept one third of the amount due in 6 per cent bonds of the Confederate States at the rate of $1.35 for the dollar, the rate established by the Secretary of the Treasury.
Resolved That the action of the President be and is hereby approved.
   On Motion of Mr Lapsley it was Resolved
   That the President or Superintendent be and are hereby authorised to apply to the Secretary of War or other proper authority for permission to have transported through the Military lines, Cotton, Salt or other proper articles to be disposed of for the procurement of meat and other articles necessary for the Company, and that they be authorised to purchase the proper quantity of Cotton, Salt &c for this purpose.
   That the Superintendent be authorised to purchase at once one hundred & fifty sacks of Salt now offered at $35 per bushel in Demopolis.
   A Contract entered into by M B Prichard Gen'l Superintendent on behalf of the Company with Capt J H Stone of the Steamer Marengo, was submitted for approval and is as follows:
Demopolis Ala 11th August 1864
   It is mutually agreed and understood that the Contract made between Capt H. R. Johnston and the Ala & Miss Rivers RRd Co for transporting Passengers & freight between Demopolis & McDowells, afterwards transferred to Capt J. W. Stone and extended by mutual agreement to Aug 15th 1864 be again extended to Jany 1st 1865 upon the following terms
   The Ala & Miss R. R. R. Co. to pay Capt J W Stone in the same manner as prescribed in said Contract at the rates as follows:
For Passengers each other than those having Military transportation $1.50
" Soldiers & others having Military transportation .75
" Half tickets half the price for passengers .75
" Freight, other than Express freight per 100 bs .30
"      "    carried by Express on Passenger trains per 100 lbs .40
" Stock, baggage & carriages 50 per cent advance in rates agreed upon on December 1863. For Freight carried by car load, shall be estimated on settlement with the Boat, at the same number of pounds charged the Rail Road Company. These rates to take effect on and after the 1st day of August 1864

   On Motion of Mr Lapsley it was Resolved
   That the foregoing Contract made with Capt J. W. Stone of the Steamer Marengo, be & the same is hereby adopted.

   On Motion of Mr Knox the following was adopted
   Be and it is hereby Resolved by the Board of Directors of the Ala & Miss Rivers Rail Road Co that Col Sam Tate is duly authorized by the Company to receive and receipt for all moneys due to this Company by the Confederate States for Mail Service.
