   At a regular meeting of the Board of Directors held this day. Present W. P. Bocock Acting President and Directors Jas L. Price, Jno W. Lapsley, L F Whitehead and H. W. Reese.

   On motion of Mr Price it was Resolved that the settlement made by the Acting President Mr Bocock with Mr J F Whitsett the President of the Cahaba Marion & Greensboro Rail Road Company and submitted to the board be confirmed.
   On motion of Mr Lapsley, it was Resolved, that the President be authorised at his discretion and if in his opinion and that of the Superintendent, our contract with the Steam Boat on the Tombigbee River be faithfully carried out to the 15th December next, to make extra allowance on the charge for freight only if fifty per cent from the 1st of September to the end of the time of said contract and in the mean time be also authorised to contract on suitable terms with Capt Stone for the service of a boat to run in connection with the business of this Company for eighteen months from the termination of the present contract: terminable sooner at the pleasure of the board said ??? contract to be submitted to this board for its final action
   The Superintendent having submitted to the board a letter with date of 6th September 1863 from Major F. W. Sims, Assistant Quarter Master of the Confederate States, stating that the Quartermaster Genl had agreed to the proposition of said Superintendent in regard to tariffs for transportation of troops and Government property on the part of the Government. On motion of Mr Lapsley, it was Resolved, that the terms stated in said letter be and the same are hereby accepted and approved and that the Superintendent be authorised to settle with the Government accordingly
   On motion of Mr Lapsley it was resolved, that the President and Superintendent be and they are hereby authorised and desired to take proper steps for the completion of the track of the Rail Road on the side of the Tombigbee river as early as practicable, availing themselves of such assistance as may be needed and as they may be able to obtain from the Confederate Government or its officers and agents.
   On motion of Mr Price it was resolved, that the President be allowed to settle upon such terms as he may deem proper, the rent for the property belonging to the Estate of George Hummel Deceased, including time when said house was occupied by Sam Tate Esqr
   On motion of Mr Lapsley it was resolved, That this Board now proceed to elect a president to fill the vacancy caused by the death of its late president. Mr Bocock was then nominated and receiving a majority of the ballots cast was declared duly elected.
