{From the minutes of the Directors' Meeting of the Alabama & Mississippi Rivers RR, August 14, 1863}

 
Selma August 14th 1863
 
   At a called meeting of the Board of Directors of the Ala & Miss Rivers R. Road Co. was held this day, in accordance with an order made by the Chairman of the Executive Committee. Present Directors Jas L. Price, Jno W. Lapsley, W. P. Bocock, & W. S. Knox. The meeting was organized by Mr Price being called to preside

   On motion of Mr Lapsley the following resolution was unanimously adopted. Resolved unanimously, That this board as individually, as well as in their official character deeply feel and deplore the unexpected loss by death of their late President, Doctor G. G. Griffin, and regard the same as a heavy calamity to the Company and we who have been associated with him take occasion to express our deep sense of his estimable qualities as an officer, a citizen and a gentleman and tender to his family and friends our sincere condolence at the deprivation which his death occasions to them, to us, and to the community.
   Resolved, that a copy of these resolutions be communicated by the Secretary to the family of the deceased.
   On motion of Mr Lapsley the board proceeded to the election of a director to fill the vacancy caused by the death of Dr G. G. Griffin. Mr. Bocock nominated Dr Henry W Reese who was thereupon unanimously elected.
   On motion of Mr Lapsley it was Resolved, That in the absence of a full board of Directors, it is deemed inexpedient to elect a President, and that until such election, Genl Bocock be chosen to act as President that during such time of service he be entitled to the regular salary of President, and that he is hereby invested with all the powers of President.
   Mr Bocock submitted a written communication from Mr John Collins which on motion of Mr Lapsley was lad over:
   On motion of Mr Lapsley it was Resolved
   That the Superintendent be authorised to purchase the barge now lying at McDowells Landing and that he be also authorised to pay one third of the expenses in transporting said barge from Selma to McDowells Landing, to wit One Hundred & Fifty Dollars.
   That the Superintendent be authorised to contract with the Southern Express Co. for Express privileges over this road & that he submit his proposed contract with that Company to the next meeting of this Board.
   That the Superintendent be instructed to submit to the next meeting of this Board a tariff of rates for Freight and Passage for its approval and that until the action of the Board the tariff for Freights recently put in operation by him be continued and the tariff for Passage proposed by him as per schedule submitted, be enforced.
