| Near Demopolis April 12d 1862 |
| A called meeting of the board of Directors
of the Alabama & Mississippi Rivers Rail Road Company was held this date
the residence of the President near Demopolis. There were president G G
Griffin President an Directors James L. Price Charles Walker, John W
Lapsley and W P Bocock. The following proceedings were had and
resolutions adopted it was |

| Resolved That the board is highly
gratified that the Government of the Confederate States has detailed so
competent and skillful an Engineer as Mr A. S. Gaines, to aid in pushing
forward the work on the Road of this Company, and that Mr Gaines is
hereby invested with all proper and necessary authority in relation to
said work, to enable him to carry out the views of said Government, and
that he be requested to act in conjunction with the acting Chief
Engineer of the Company, and that the Engineer, acting in conjunction,
be requested to use all proper means and efforts for the completion of
the Road at the earliest day possible. |
