{From the minutes of the Directors' Meeting of the Alabama & Mississippi Rivers RR, April 23, 1862}

 
Near Demopolis April 12d 1862
   A called meeting of the board of Directors of the Alabama & Mississippi Rivers Rail Road Company was held this date the residence of the President near Demopolis. There were president G G Griffin President an Directors James L. Price Charles Walker, John W Lapsley and W P Bocock. The following proceedings were had and resolutions adopted it was
   Resolved that with a view to obtain the benefit of an Act of the Congress of the Confederate States of America approved Feby 15th 1862 entitled, "An Act to provide for the Construction of the Rail Road from Selma in Alabama to Meridian in Mississippi," and to comply with the terms and conditions deemed best by the President of the Confederate States, to secure the early completion of said Rail Road Construction and to secure the return of the money so advanced, the President of this Company, be an he is hereby authorized to execute in due form, and deliver on behalf of this Company the following Deeds and obligations
   1st A promissory note or obligation to repay the said Confederate States the sum of One hundred and fifty thousand dollars, mentioned in said Act, ten years from this date
   2d A mortgage on the entire Rail Road and Road bed owned by said Company, extending from Selma in Alabama to Reagan in Mississippi the County of Sumter together with the fixtures, Depots and Depot property, Machine Shop and Materials appertaining to, said Rail Road and belonging to said Company and which mortgage is to be recorded in every County in which the Rail Road lies.
   3d An obligation of said Company, with Personal Security, in the penalty of three hundred thousand dollars, conditioned that the sum of money advanced the Company by said Act shall be faithfully and properly applied so far as the same will go, for the connection mentioned in said act
   4th An agreement binding this Company to use and exercise all possible diligence ??try & activity to secure the connection in the act mentioned, at the earliest practicable time and to use all proper and reasonable diligence to transport over their Rail Road, or any part thereof, any and all Troops, Munitions of war, provisions, and other articles which the government of the Confederate States may desire to have transported, over the same, at the rates usually paid by the said Confederate States to Rail Road Companys, and binding themselves as to any charge or liability to them thus incurred by the Confederate States, that the amount thereof shall be credited on the promissory note of the Company herein first mentioned, till the amount of said note shall be extinguished.
