   The board of Directors of this Company met at their office in Demopolis this day at 3 o'clk P M
   Present G. G. Griffin President and Directors J. L. Price J. W. Lapsley and R. D. Shackelford

   A communication from A. B. Whitfield Jr. was presented by R. D. Shackelford asking that his accounting to Fifty-one Dollars to Services as Civil Engineer from 1st to 17th March be allowed, and on Motion the Board voted that the amount should be paid to ??? A. B. Whitfield Jr.
   The President reported to the Board that he had paid Quarter Master J. D. Calhoun, of Montgomery, by authority of the Quarter Master General of the Confederate States, the sum of One Hundred and Six Thousand Two Hundred & Eight 75/100 Dollars the Amt due the Confederate States for Iron Rails &c seized by Sam. Tate Mily Supt of the Meridian & Selma R. R. from the Alabama & Florida Rail Road Co of Florida, and had received his receipt for the amount.
   Col Jas L. Price offered the following Resolutions, which were adopted
   1st That the President be instructed to prepare or cause to be prepared a list of such rolling stock and other materials &c which this Company now needs or may need during the net two years and to order the same from Europe or England to be forwarded so soon as the Blockade of the Confederate ports shall be raised or so soon as it may be deemed safe to ship the same.
   2nd That the President be authorised and instructed to purchase such amount of Cotton as he may deem necessary in order, by the shipment and sale abroad to pay the cost of the articles authorised to be ordered by the preceding resolution.
   The following Resolutions offered by Col J. W. Lapsley were adopted
   1st Resolved, that the resolution heretofore adopted by this Board in regard to the location of the Bridge over the Tombigbee River be and the same is hereby rescinded, and that the Chief Engineer make arrangements with Dr. E. T. Ligin to suspend work on the line as heretofore adopted, and employ his hands on such other portion of the road as may be done to best advantage.
   2nd Resolved, that the Chief Engineer be instructed to cause a careful reconnaissance and survey as soon as practicable in order to ascertain the best and most favorable route for the crossing of the Tombigbee River and its probable cost and report to this Board at a subsequent meeting.
