Directors' Meeting of the Alabama & Mississippi Rivers RR, March 13, 1862} |

| Near Demopolis Ala March 13th 1862 |
| A called meeting of the board of Directors
of the Ala & Miss Rivers Rail Road Company was held this day at the
residence of the President. |
| Present G G Griffin President and
Directors J. Price Jno W Lapsley Charles Walker W P Bocock and J M Lee.
The following proceedings were had and resolutions adopted. |
| Resolved That in case the president shall
be of the opinion that it is needful for the speedy completion of the
section of the road to employ an Engineer for the general
superintendence of its construction, he is authorized to hire on such
terms as shall seem to him reasonable, such to hold his appointment
during the term of the President or the board. |
| " that the President be instructed to
purchase Iron sufficient to lay the track to Reagan, upon such
terms as he may deem most advantageous to this company provided he first
ascertains that such Iron can be delivered on reasonable terms at
Reagan, Demopolis, or Selma, and in case that he cannot purchase the
whole Iron required that he purchase so much as he may deem most
expedient |
| " that the President of the Company, be
and he is hereby authorized and instructed to take proper steps to
procure the sum, one hundred and fifty thousand dollars authorized to be
advanced to this Company, by Act of the Congress of the Confederate
States of America, entitled "An act to provide for the connection of the
Rail Road from Selma in Alabama to Meridian in Mississippi" and that he
be authorized to enter into such stipulation and engagements, in regard
to said appropriation, on behalf of this Company, and to execute such
obligation, and instruments of the Company as may be required by the
President of the said Confederate States, under the terms and provisions
of said Act, and the president of this Company, have power in case
he shall not perform their duty in person to appoint such person or
persons, as he may deem proper, to perform the business, authorized by
this substitution, and whatsoever the person or persons so appointed may
lawfully do in the promissories, shall be as valid and binding, as if
done by the President of the Company in Person |
