Directors' Meeting of the Alabama & Mississippi Rivers RR, December

| Wednesday Morning December 10th 1862 |
| The Board reassembled, pursuant to
adjournment. |

| Col Samul Tate President of the Charleston
& Memphis RR Co. {Memphis & Charleston RR}
having submitted to the board a proposition in writing in the words
following. To wit. |
| I propose to hire to the Ala & Miss RRR
Co. |
| Engines at $15 pr day |
| 1st Class Passenger Cars at $7.50 pr day |
| 2d Class & Bagge
" " $ 5.00 " " |
| Freight
" " $ 2.00 " " |
| Hire to begin on delivery and end on return to our
Shops. Hirer to keep up or pay for all damage done by them |
| All parts that wear out by natural wear we will supply
or pay for such work. We have some of use 18 to 20 Ton Engines as well
hire at $10 pr day. |

| Whereupon it was resolved that the
President is authorized and advised to accept the same to such extent as
he shall think proper. |

| Resolved that the president be authorized
to pay the debt of this company to the Cahaba Marion & Greensboro Rail
Road Company, including the iron purchased for the road by Col Tate
Government Superintendent, so soon as he can procure funds for this
purpose; and that he be authorized to use in payment the eight pr cent
bonds of the company authorized to be issued provided that he accertains:
on taking proper legal advice that the party to whom payment may be made
is duly authorized to receive payment and that all lien on the payment
authorized to be made and that the President is also authorized to pay
in the same manner the indebtedness of the company for iron obtained of
the Florida and Alabama Rail Road Company {Alabama
& Florida (of Florida) RR} for the road of this company and all
other indebtedness contracted in the completion of the Rail Road. |
| Col Saml Tate having proposed to purchase
fifty thousand dollars of the eight per cent mortgage bonds the Company
proposed to be issued, and to advance the amount without delay provided
the company will pay interest on the amount up to the times of the
delivery of the bonds the bonds to be delivered a soon as they are
prepared, not exceeding four months from this present time. Resolved the
President be and he is hereby authorized to accept said proposition and
receive the money and to execute to said Tate the obligations of this
company in proper form to deliver to said Tate on his order, the bonds
aforesaid as soon as put out within not exceeding four months from this
date, and to pay interest on the amount to be received until the
delivery of the bonds or until interest commences to run on the bonds. |

| Resolved that the President be and he is
hereby authorized to accept the proposition of Cr Ligon to complete the
grading on the Section of the road between the River and McDowels
landing at the rate of thirty cents pr cubic yard and to close a
contract therefor accordingly, with the conditions usual in such
contracts Stipulating for the completion of the work within such time as
he may deem proper to proscribe in said contract; and that the President
be also authorized to let to contract the tressel work on said Section. |
| Resolved that the President be authorized
to adopt a suitable Schedule for trains between Meridian and Selma and
direct notice therof to be given by publication in the Selma Reporter. |
| Resolved, that the President take steps to
have constructed as soon as possible two good and substantial barges,
suitable for transportation of engines and cars over the river and for
transportation of goods between Demopolis and McDowels landing. |
| Resolved that the President advertise in
newspapers at Atlanta Richmond & Montgomery for proposal for building
the bridge over the {Tom}Bigby River;
calling for bills for the masonry and superstructure, jointly and
seperately, the bills to be open on 1st day of February next; and the
work to be completed on or before the first day of December 1863. And in
case a satisfactory proposition is made for said work or any portion
thereof may call contract for the same without delay. |
