| At a regular meeting of the Board of
Directors held this day. Present W. P. Bocock President and Directors
Jas L. Price, J W. Lapsley, W. S. Knox and H. W. Reese. |

| On motion of Mr Lapsley it was Resolved |
| That the Superintendent be instructed to
put in a side track and platform at Van Dorn Station at such proper
point as may be selected by the persons in the vicinity, provided that
those immediately interested will do the necessary work and furnish the
cross ties &c to be paid for at such reasonable rates as the Board may
determine, and provided that it be done with the understanding that in
case the iron which may be used shall be needed in the extension of the
road to McDowells, or for any other purpose of greater necessity than
said turnout, the iron will be removed, until it can be supplied from
other sources, and further that the citizens interested be allowed to
erect a suitable freight house and shelter at the same place, on the
conditions above specified. |
| The President having submitted a
communication to the Board from Maj Claud McGivern in relation to a
verbal understanding between himself and our late president for the
privilege of putting certain Government work-shops and other buildings
on the lands of this Company near Demopolis, it was therefore on Motion
of Mr Knox Resolved, |
| That the Board accord to Major McGivern
the privilege of building Government houses on said Companys lands,
provided no privy or other nuisance be erected or contained near the
Rail road, provided further, that no building be erected within fifty
feet of the road except on consultation with and by consent of the
President or Superintendent and that no building be placed or continued
at any point on the land which will be in the way of the new route
selected for the Rail-road or in any way incommode the trains and
passengers or be productive of danger to hands, soldiers or others on
the top of the cars. At the close of the war Government to have the
preference as purchaser of such lands as the Company may be willing to
sell, the Company to have preference as purchaser of such buildings or
buildings material &c as Government may wish to sell, and in case of no
purchase Government have the right to remove its buildings. |

| On Motion of Mr Price it was Resolved, |
| That owing to unavoidable injury to box
cars in transporting troops and to the general bad order of cotton
offered for shipment, the risks from fire have been greatly increased,
therefore, That the rate of freight on cotton be advanced to (3.50)
Three 50/100 Dollars from Demopolis to Selma and in proportion between
other points. That it be a general rule of transportation of this
Company not to receive cotton for freightage unless the same be in good
order. That Cotton not in good order shall only be taken for freight
upon special contract with the shipper, which shall protect the Company
against risk by fire or indemnify the company against such. That with a
view to carry out the last resolution the President be authorised and
requested to negotiate with insurance companies. |
