Proceedings of Stockholders Meeting
Office Charleston & Savannah R. R. Com'py
April 10, 1861
 
   An adjourned meeting of the Stockholders of this Company was held this day, Hon. Charles Macbeth, Mayor, presiding.
   The minutes of the meetings held 20th and 27th February last, were read and confirmed.
   The Committee to who was referred the Report of the President, submitted through their Chairman the following Report:
[Copies of the Report may be found at Messrs. Evans & Cogswell's, 3 Broad Street.]
   Mr. P. Pritchard, from the same Committee, who was absent from the City, and unable to sign the Report, being present and concurring in it, desired to affix his signature, which was granted.
   Mr. Ravenell offered the following as an amendment to the Report, which was adopted:
   Resolved, That the amount of Bonds to be issued, to form a third lien under a Second Mortgage of the Company, as proposed in the Report of the Committee just submitted, be made $625,000, instead of $525,000, the additional $100,000 to be reserved for future use, in case the profits of the Road be insufficient for the completion of the Bridge over the Savannah River and the payment of its coupons. No part of the Bonds to be so reserved to be used until after the expiration of six months from this date, and not then except by a vote of three-fourths of the Board of Directors. On motion it was adopted that the Directors be and they are hereby instructed to take the necessary measures to carry the same into effect, if the necessary conditions can be obtained in the ?? of settlement purchased.
   The following resolution, offered by Mr. Brayins was adopted:
   Resolved, That the books of the ??? be ???, annually, ??? days prior to the third Wednesday in February.
   Mr. T?? stated that a desire had been expressed by the City ??? to have the ??? of President and Directors ??? and ??? that the ??? be postponed on the ?? of May next, which was adopted.
   On motion, it was
   Resolved, That when this meeting ?????
   On motion, it was ordered that the proceedings of this meeting be published in the daily papers.
   The meeting then adjourned.
