| At a called meeting of the Board of
Directors held this day at the office of the Company. Present: |

| Ordered: That when there is no
valid or legal contract to the contrary the President be authorized and
required to employ the hands hired by the Company at such points and at
such kinds of labor as in his judgment the interests of the Road may
require. |
| Ordered: That the President
notify R W Mills that his services as Secretary of the North Carolina
Rail Road Company are dispensed with from this date. A. N. Sullivan was
appointed Secretary. |
