| The Board met on the call of the President.
Present: |

| Mr. Jno. A. Bryan Jr.
Secretary of this Co. tendered his resignation as Secretary and on
motion it was received and accepted. |
| On motion of Mr Davis a Bond
of Twenty Thousand Dollars shall be in future required of the Secretary.
Said Bond to have Two or more securities, to be approved by the Board. |
| On motion Mr F. A. Stagg was
elected to the position of Secretary of the Company. |
| On motion of Mr Mebane, The
President is authorized and requested to employ necessary assistant to
investigate the books & papers of the Office of Secretary of the Company
and that during the investigation, the late Secretary J. H. Bryan Jr.
shall be requested to attend and give the necessary explanation in said
investigation. |
