Gentlemen,
   I am instructed by Genl Johnston to acknowledge the receipt of your memorial stating that you are Com'rs for Logan County are entitled to the management west of the Branch Rail Road {the Memphis Branch of the Louisville & Nashville RR} from this place to the Transfer and asking that you may be put in possession thereof for the benefit of Stockholders & Creditors.
   Genl Johnston has no objection now to the control of that Branch road reverting to the control of those entitled to it by law. The control of it by the military authorities being temporary at one time for reasons which no longer exist.
   An order will be issued to Mr Fleece the Supt instructing him to hand over the management & control of the Road to those entitled to it by law, but this order will be upon two express conditions, one that Mr Fleece as Superintendant will soon give orders to them for this removal. The other that whenever the exigencies of the service require it that Branch & all the rolling stock shall be subject to the orders of the military authorities.
