Genl,
   The Miss & Tenn R. R. Co. proposes to the government the following conditions by which the Road may be run from this point to Panola Miss or Tallahatchie River.
1st  We propose to hire the Road and Rolling Stock belonging to same (all that is north of the Yallabusha river) the government using the same in such manner as they see proper, for the sum of ($4000.00) Four Thousand Dollars pr. month.
2d  We propose to run the Road (with the stock we have) every other day provided the government will insure us ($6,000) Six Thousand Dollars pr month besides the amounts we can collect from passengers &c by attaching a passenger car to the train -- the government to give transportation as usual, and if the amount of same does not reach Six Thousand Dollars, the deficit to be made up.
3d  If the government will hire two Engines from the New Orleans, Jackson & Great Northern Railroad and pay the expense of transferring same to the north side of Yallabusha River, we will run a daily train, provided the Government will insure us Eight Thousand Dollars pr month ($8,000) besides the amount we can collect from passengers &c. The government to give transportation as in Proposition 2d. and make up the difference if any. We will pay for the hire of the Engines after they are transferred. The last proposition is in our opinion the best for the interest of the government. With only one engine a train could only be run every other day, and should the engine get out of order, of course the work could be stopped. One additional engine could be made to answer the purpose, but the cost of transferring two would be very little more than it would be for a single engine. The R. R. Company would only bind themselves to do all in their power to keep up the Road & Equipments and would expect the government to pay the full amount pr month even though the engines could not be run as often as promised, by reason of accident or otherwise, until such a time as they should be notified by the govt. to discontinue.
   The R. R. Co. would reserve the right to annul the contract at any time, should they desire to remove their stock or for other reasons. The cost of transferring two engines across the River would in our opinion not exceed ($2000) Two Thousand dollars.
   Should it be practicable to hire one or two engines belonging to the Miss Central R. R. which are already on the north side of the river, they could be transferred at a less expense, probably not over ($1200) Twelve Hundred Dolls. All we desire on the part of the company is enough to pay actual expenses & a fair equivalent for wear & tear of Road & machinery.
