   You are authorized to make to the Rogersville & Jefferson R. R. Co., the proposal named in your letter of the 15th inst to this Bureau, viz: "To pay off all those liabilities for which the members of the Board or any Stockholders with them jointly have become personally responsible, and for which liabilities they have no other collateral security than the R. R. itself, and to restore to the company the iron, rolling stock and machinery of as good character as those now taken from the road" but the restoration must be six months after the close of the war, and not at the close, as named by you. In paying off liabilities for which the members of the Board, or Stockholders, may be responsible, the proper vouchers and transfers in favor of the Government must be made, to be used as evidence of partial payment when the time for restoring the purchased or impressed iron, rolling stock and machinery shall have arrived.
   The Government will agree to pay the interest on the Bonds issued by the State of Tennessee to this railroad Company, until restitution be made. The railroad Company should be allowed interest at seven per cent per annum on the value of the property taken (less the interest to be paid on the Tennessee State Bonds) until the iron, rolling stock &c shall have been returned.
   For your information and guidance I send Genl orders No 85 A&IGO June 16th 1863. Should there be delay in the hearing of the case -- application for dissolving the injunction before Judge Welcker please notify this Bureau by telegraph.
   If you can still arrange the terms of purchase directly with the agents of the Rogersville Company, I would prefer it: terms liberal to the company will be approved by the Hon. Sec. of War.
