Richmond Jany 11th 1865
   At a meeting of the Board of Directors of the Virginia Central Rail Road Company, present

  Jacob Baylor  
  N B Hill  
   The President and Superintendent were authorised to sell twenty cars to the Piedmont Railroad Company, if, it can be done on satisfactory terms

   Whereas, the Board has reason to believe that the order prohibiting speculations by its officers has not been respected and as there may be some cases in which the purchase and sale of the producetions of the Country may be allowed without detriment to the interests of the Company
   Resolved, that the order prohibiting speculation be so far modified as to allow any officer to purchase and sell: Provided he produces from the President or Supt specific authority for the transportation of the articles he proposes to purchase and that the resolution be strictly enforced with this qualification
   Resolved, that as the rates of Freight and Fares now received by the Company both from the Government and private sources are not more than enough to keep the Road and its equipment in proper condition and also owing to the large accounts it has been found necessary to expend for supplies during the last quarter, it is inexpedient to declare a dividend at this time
