| A called meeting of the Board was held
this day. |
| Present Lewis E. Harvie President Jno R.
Edmunds Wm Palmer & R O Hoskins |
| On Motion of Jno R Edmunds the following
proposed |
| Whereas: The present condition of affairs
may render it necessary for the President of the R & D R Road to
exercise powers in Emergencies, when the Board of Directors could not be
summoned in time to protect the interest of the Company |
| Resolved: |
| That the president be and is hereby
requested in any such event to use a sound character to guard the
property and interests committed to his care and in any exercise of
doubtful persons, he shall report his actions to the next Board of
Directors. |
